01 · AgreementAcceptance of Terms

By downloading, installing, or using the Glueprint desktop application, mobile app, cloud relay service, or web portal (collectively, the "Service") operated by Glueprint ("Glueprint," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, to use the Service. By using the Service, you represent and warrant that you meet this requirement.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

02 · ProductService Description

Glueprint is an orchestration platform that coordinates and manages multi-agent AI coding workflows. The Service provides tools for configuring, launching, monitoring, and controlling AI coding agents through a unified interface, including a desktop application, mobile app, cloud relay service, and web portal.

Glueprint is not an AI provider. The Service does not generate AI outputs, host AI models, or provide AI capabilities directly. Instead, Glueprint orchestrates third-party AI services and tools ("Third-Party Services") such as Claude Code, Codex, Gemini, and others that you independently choose to use. The distinction between the "Service" (Glueprint's orchestration platform) and "Third-Party Services" (external AI providers and tools) is maintained throughout these Terms.

03 · AccessAccount & Activation Keys

To use Glueprint, you must register for an account and activate the desktop application with a valid activation key. You are responsible for:

• Maintaining the confidentiality of your activation key and account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use of your account

Activation keys are non-transferable and may be revoked if used in violation of these Terms.

04 · PlansSubscription Tiers & Billing

Glueprint offers the following subscription tiers:

• Free — Core features with limited cloud relay usage
• Pro — Expanded limits, priority relay routing, and advanced features
• Team — Multi-seat licensing with shared workspaces and team management
• Enterprise — Custom deployments, SLAs, and dedicated support

All prices are displayed in United States Dollars (USD). Paid subscriptions are billed monthly or annually at the rate displayed at the time of purchase. Prices may change with 30 days' notice. Refunds are handled on a case-by-case basis. If you cancel a paid subscription, you retain access through the end of the current billing period.

You are responsible for any applicable taxes (including VAT, GST, and sales tax) based on your location. Taxes may be added to the listed price where required by law. If you are located in the European Union and purchased the Service as a consumer, you acknowledge that the statutory 14-day withdrawal right may not apply once the digital service has been fully performed with your prior express consent.

If you participate in Glueprint's partner program, your participation is additionally governed by the Partner Program Terms (formerly the Affiliate Program Terms), which are incorporated by reference. In the event of any conflict between these Terms and the Partner Program Terms as to the partner program, the Partner Program Terms control.

05 · AgentsThird-Party AI Services and Tools

5.1 Orchestration Role

Glueprint acts solely as an orchestration layer. We coordinate communication between you and Third-Party Services and may provide operational context to those services (such as environment details or workflow instructions) to facilitate orchestration. We do not alter the substantive content generated by Third-Party Services, though we may reformat, truncate, or otherwise adjust how that content is presented within the Glueprint interface. We do not assume responsibility for the outputs, behavior, or availability of Third-Party Services.

5.2 User Responsibility

You are solely responsible for obtaining and maintaining your own accounts, subscriptions, API keys, and credentials with any Third-Party Services you use through Glueprint. You are also responsible for all costs, charges, and usage fees incurred with Third-Party Services.

5.3 No Authentication Control

Glueprint does not manage authentication with Third-Party Services on your behalf. You provide your own credentials and are responsible for ensuring they are valid, current, and used in accordance with the applicable provider's terms.

5.4 Third-Party Terms

Your use of any Third-Party Service through Glueprint is governed by that provider's own terms of service, acceptable use policies, and privacy policies. It is your responsibility to review and comply with all applicable third-party terms. In the event of a conflict between these Terms and a third-party provider's terms regarding their service, the third-party provider's terms govern your use of their service.

5.5 Recommended Practices

We recommend that you:

• Review the terms of service for each Third-Party Service before use
• Monitor your usage and costs with Third-Party Services independently
• Use scoped or limited API keys where supported by Third-Party Services
• Rotate credentials regularly in accordance with security best practices

06 · ConductAcceptable Use

6.1 General Conduct

You agree not to:

• Abuse, overload, or interfere with the cloud relay service or its infrastructure
• Attempt to bypass rate limits, authentication mechanisms, or security controls
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, engage in illegal activity, or violate the rights of others
• Share activation keys or account credentials with unauthorized parties
• Resell or sublicense access to the Service without written permission

6.2 Third-Party Service Compliance

When using Third-Party Services through Glueprint, you additionally agree not to:

• Use Glueprint to circumvent rate limits, usage restrictions, or access controls imposed by Third-Party Services
• Violate the acceptable use policies or terms of service of any Third-Party Service
• Use Glueprint to coordinate activities that would violate third-party terms if performed directly
• Misrepresent your identity or authorization level when interacting with Third-Party Services

Violation of these restrictions may result in immediate suspension or termination of your account.

07 · OwnershipIntellectual Property

The Glueprint application, relay server, web portal, documentation, and all related intellectual property are owned by Glueprint and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

Your code is yours. Glueprint does not claim any ownership or license over the source code, session content, or other data you process through the Service. Content encrypted via the cloud relay remains your property and is protected according to the key-delivery model described on our Security page.

08 · CloudCloud Relay Service

The cloud relay is provided on a best-effort basis. While we strive for high availability, we do not guarantee uninterrupted service. Session content and classified free-text payloads are encrypted before relay transit. Password and recovery seats keep usable key unwrap on authorized clients; Enterprise SSO uses a tenant-bound AWS KMS key and permits the relay to return a KMS-decrypted tenant key to an authenticated SSO client over TLS. You are responsible for maintaining the credentials and recovery materials applicable to your authentication method. If no authorized client or valid recovery path can obtain the required key, encrypted data may be unrecoverable.

09 · WarrantyDisclaimers

9.1 General

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Third-Party Services

GLUEPRINT MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY THIRD-PARTY SERVICES ACCESSED THROUGH THE SERVICE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY OUTPUT GENERATED BY THIRD-PARTY AI SERVICES. WE DO NOT ENDORSE AND ARE NOT RESPONSIBLE FOR THE AVAILABILITY, PERFORMANCE, SECURITY PRACTICES, OR TERMS OF ANY THIRD-PARTY SERVICE.

You acknowledge that AI-generated outputs may contain errors, biases, or inaccuracies, and you are solely responsible for reviewing, validating, and determining the suitability of any output before use in any context, including production code.

10 · RiskLimitation of Liability

10.1 General

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLUEPRINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.2 Third-Party Services

WITHOUT LIMITING THE FOREGOING, GLUEPRINT SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM OR RELATED TO YOUR USE OF THIRD-PARTY SERVICES, INCLUDING BUT NOT LIMITED TO: (A) CHARGES INCURRED WITH THIRD-PARTY PROVIDERS; (B) OUTPUT GENERATED BY THIRD-PARTY AI SERVICES; (C) UNAUTHORIZED ACCESS TO YOUR THIRD-PARTY ACCOUNTS; (D) CHANGES TO THIRD-PARTY TERMS, PRICING, OR AVAILABILITY; OR (E) DATA PROCESSED BY THIRD-PARTY SERVICES.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

11 · ClaimsIndemnification

You agree to indemnify, defend, and hold harmless Glueprint and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your willful or material violation of these Terms; (b) your violation of the terms of any Third-Party Service; or (c) your willful misuse of the Service that causes harm to a third party.

This indemnification obligation applies only to damages proximately caused by the enumerated conduct above and does not extend to claims arising from Glueprint's own negligence or breach.

12 · Ending accessTermination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

• Your activation key will be deactivated
• Cloud relay access will be revoked
• Local data in ~/.glueprint/ remains on your device and is not affected
• Encrypted data stored on the relay will be deleted according to our retention policy

13 · RevisionsChanges to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice in the application. The updated effective date will be posted at the top of this page.

14 · Trade controlsExport Compliance

The Service may be subject to United States export control and sanctions laws, including the Export Administration Regulations (EAR) and regulations administered by the Office of Foreign Assets Control (OFAC). You agree that you will not export, re-export, or transfer the Service to any country, entity, or person prohibited by applicable law. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or sanctions, and that you are not on any U.S. government restricted party list.

15 · ContractGeneral Provisions

15.1 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Glueprint regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

15.3 Waiver

The failure of Glueprint to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Glueprint.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Glueprint. Glueprint may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their permitted successors and assigns.

15.5 Force Majeure

Glueprint shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, Internet or telecommunications failures, or third-party service outages.

15.6 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall control in the event of any conflict or inconsistency.

16 · DisputesGoverning Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Fulton County, Georgia. Each party knowingly and voluntarily waives any right to a jury trial.

Notwithstanding the foregoing, if you are a consumer residing in the European Union, United Kingdom, or Australia, nothing in these Terms limits your right to bring proceedings in the courts of your country of residence as provided by applicable consumer protection law. Any mandatory consumer protection provisions of your jurisdiction of residence shall apply to the extent required by law.
